Includes Neptunia, Triton Transport and 50% of Terminales Portuarios Euroandinos

In March 2018, Andino Investment Holding S.A.A. (“AIH”) announced it reached an agreement to sell 100% of its shares in Cosmos Agencia Marítima S.A.C. to DP World Peru S.R.L. for USD 315.7 MM.

The acquisition consists of a multi-asset platform of maritime, logistic and port companies. In addition to Cosmos, the transaction includes 100% of its subsidiaries Neptunia S.A. and Triton Transport S.A., and 50% of Terminales Portuarios Euroandinos Paita S.A., the second largest port in Peru measured by container traffic.

With this transaction, DP World will increase its portfolio in up to 6 operating terminals across Latin America.

After the transaction, AIH will focus on its airport logistics businesses; including Aeropuertos Andino del Perú and the Limahub Project.

EFIC Partners and Bank of America Merrill Lynch acted as financial advisors to AIH through all the stages of the transaction.
